UCAP AGM Resolutions: N1.50 Dividend and N6.5m per annum remuneration for Non-Executive Directors

Shareholders of United Capital Plc (NGX: UCAP) has approved the payment of a dividend of N1.50 per ordinary share and a fixed remuneration of N6.5 million each for Non-Executive Directors.

The resolutions passed at the Annual General Meeting of the company was published on the Nigerian Exchange on Thursday 25 March, 2022. The Shareholders Annual General Meeting was held on Wednesday, March 23, 2022, at the Transcorp Hilton Hotel, Abuja.

On February 18, Investogist reported that UCAP had posted a profit of N11.26 billion for the 2021 financial year and proposed a N1.50 dividend per ordinary share.

The resolutions proposed and duly passed includes;

1. The Audited Financial Statements for the year ended December 31, 2021 and the Report of the Directors, Auditors and Audit Committee thereon.
2. A dividend of N9 Billion at N1.50 kobo per ordinary share of 50 kobo to all shareholders whose names were registered in the Company’s Register of Members as of March 8, 2022.
3. The approval of the re-election of Professor Chika Mordi and Mr. Emmanuel Nnorom as Non-Executive Directors.
4. The approval of the appointments of Ms. Tokunbo Ajayi and Mr. Leke Ogunlewe as Non-Executive Directors.
5. The authorization of the Board of Directors to fix the remuneration of the Auditors for the financial year ending December 31, 2022.
6. The election/re-election of the following as members of the Statutory Audit Committee:
   1. Mr. Oladipupo Fatokun – Directors’ representative
   2. Sir. Stephen Nwadiuko – Directors’ representative
   3. Mr. Paul Olele – Shareholders’ representative
   4. Pastor Alex Adio – Shareholders’ representative
   5. Mrs. Faith George-Usman – Shareholders’ representative
7. Disclosure of the remuneration of the Managers on page 56 of the Annual Report was duly noted by the Shareholders.
8. The approval of the remuneration of the Non-Executive Directors fixed at N6.5 Million for each director, for the financial year ending December 31, 2022.
