Shell Petroleum B.V. has signed an agreement to sell its entire interest in the Shell Nigeria Gas Group to Vaaris Energy Limited, a Nigerian energy company, bringing its role in the country’s domestic gas distribution market to an end.
Shell announced the deal today, 13 October 2026.
The transaction covers Shell Nigeria Gas Holding B.V., established in 2019, which holds all but one of the shares in Shell Nigeria Gas Limited (SNG).
SNG was established in 1998 and supplies natural gas to industrial and commercial customers. It operates about 170 kilometres of pipeline across Ogun, Abia and Rivers states.
Shell’s Country Chair in Nigeria, Elohor Aiboni, said the agreement gives the business “a much stronger platform” for its next chapter under new ownership. She added that Shell will keep its focus on deepwater and integrated gas in Nigeria.
The sale is subject to regulatory approvals and other conditions. Shell did not disclose the financial terms or a completion date.
Until the deal closes, the SNG Group will remain part of Shell and continue serving customers as usual.
The sale does not include Shell’s upstream gas production, liquefied natural gas (LNG) or international gas trading businesses.
Shell said it will retain its interest in Nigeria LNG, and that the sale fits its strategy of simplifying its portfolio and investing where it has competitive strengths.
Vaaris Energy is a Nigerian company with interests across the oil and gas value chain and an existing operational presence in the country.
The deal follows Shell’s wider restructuring in Nigeria. In March 2025, it completed the sale of its onshore subsidiary, the Shell Petroleum Development Company of Nigeria, to Renaissance Africa Energy Company.
Reports also link Vaaris to the pending purchase of TotalEnergies’ 10 per cent stake in the Renaissance joint venture,
