MRS Oil Nigeria Plc has given notice that its 55th Annual General Meeting will be held at the Federal Palace Hotel, Ahmadu Bello Way, Victoria Island, Lagos Nigeria on August 1, 2024. At 11:00am.
The meeting will address various business matters including presenting the Audited Financial Statements and Reports, declaring dividends, re-electing/electing Directors, appointing External Auditors, and other agenda items.
In addition, there will be resolutions on related party transactions, remuneration of Non-Executive Directors, and amendments to the Articles of Association.
Interested persons are reminded to abide by the provisions of the Rules Governing Related Party Transactions of the Nigerian Exchange Limited.
Notice:
- Proxy Execution: Corporate bodies must execute a proxy under seal and submit it to the Registrars & Investor, 48 hours before the Meeting.
- Dividend Payment: Approved dividends will be sent or credited on August 2, 2024, to shareholders listed in the Register of Members as of June 28, 2024.
- Shareholders’ Right to Ask Questions: Members can submit written questions regarding the 2021 Annual Report by July 11, 2024, available on the Company’s website at mrsoilnigplc.net .
- Register Closure: From July 1-5, 2024, the Register of Members and Transfer Books will be closed for an up-to-date Register and Bonus Issue.
- Audit Committee Nomination: Members can nominate an Audit Committee Shareholder at least 21 days before the Annual General Meeting.
- Unclaimed Dividends: Shareholders are urged to update their contact details with the Company’s Registrar or the Company Secretary.
- E-Dividend/Bonus Mandate: Shareholders should open accounts for dividend/bonus issuance and submit an e-dividend/e-bonus mandate form to the Company’s Registrar.
- SEC Complaints Management: Shareholders with complaints should register them on the Company’s website.
- Dividends Closure: Dividend 38 will be recalled into the Company’s account from July 10, 2024, with no further payments made.
