Seplat Energy Plc (NGX: SEPLAT) has confirmed that its Annual General Meeting (AGM) will hold as scheduled.
In a corporate action published on the Nigerian Exchange, where the energy company confirmed its AGM, it stated that media reports that the company has been restrained from holding its 2023 AGM are deliberate attempt to misinform the public and misrepresent the court proceedings.

On April 6th, Seplat issued a notice that the 10th Annual General Meeting of the company would hold on Wednesday, 10 May 2023 at 11.00am.
Earlier on Wednesday, there were several media reports stating that the Abuja Division of the Federal High Court has restrained Seplat Energy Plc from holding its annual general meeting (AGM) fixed for May 10, pending the hearing and determination of the substantive matter.
Peoples gazette reported that Justice Inyang Ekwo, in a ruling, directed parties in the suit not to tamper with the subject matter until the issues before the court were resolved.
In its statement, Seplat argued that the media publications misrepresented the court proceedings, stating that the court made no such order suspending the holding of the AGM in the duplicated petition of FHC/ABJ/PET/8/2023 – Boniface Okezie & 4 others V. Seplat Energy & 9 others.
In a publication on 28 April, 2023, Seplat announced that the Federal High Court in Abuja formally struck out the criminal charge brought by the Nigeria Immigration Service against the Company and some of its Officers. The Court fully discharged all named defendants.
It further stated that the charge had earlier been withdrawn by the Nigerian Immigration Service on the 20th April (RNS Number : 9385W) and was in relation to the immigration status of Mr. Roger Brown and the withdrawal of his immigration visa by the Ministry of Interior.
It went on to say that a new separate legal case brought by Bonifae Okezie before the Federal High Court in Abuja was a duplication of the petition before the Federal High Court in Lagos, wherein the Court has already vacated the Interim Orders against the Chief Executive Office.
In Seplat’s own words, “The Federal High Court did not accede to the request of Petitioners to grant ex parte Interim Orders
restraining the Company from holding its AGM. The petition has been adjourned to 31 May 2023. As such, the Company’s AGM will go ahead as planned on 10 May 2023. “
Seplat Energy stated that it was working within the purview of the law, and with due reference to the Court, and that it has secured all required approvals for the AGM to proceed.
