Shareholders of Academy Press Plc (NGX: ACADEMY) will consider and if thought fit approve an increase in the company’s share capital.

The share capital increase will be amongst the businesses Shareholders will consider at the 61st Annual General Meeting scheduled to hold on 23rd October 2025 in Lagos.
Share capital is the portion of a company’s equity raised through the issuance of shares, representing only the nominal value issued and paid for by investors. Share capital is money that a company raises by selling shares to investors.
As of 31 March 2025, Academy Press Plc had 756,000,000.00 issued and fully paid shares, with Alidan Investment Limited and West African Book Publishers Limited holding 24.64% and 10.47% of the shares respectively.
Under special business transaction, Shareholders will also be asked:
- To declare bonus issue
- To approve the remuneration of the Non-Executive Directors
Investogist in July 2025 reported that Academy Press Plc announced a final dividend of 15 kobo per 50 kobo for the financial year ended 31 March 2025. A share bonus of one (1) share for every five (5) existing shares held by a shareholder was also declared.
At the 61st Annual General Meeting of Academy Press Plc to be held at the Registered Office of the Company, 28/32 Industrial Avenue, Ilupeju Industrial Estate, Lagos, Shareholders will be considering the following agenda along with the special business.
- To lay before the Meeting, the Report of the Directors, the Financial Statements for the year
ended 31st March, 2025 and the Reports of the Auditors and the Audit Committee thereon. - To declare a Dividend
- To re-elect Chief Oyewole Olaoye and Mr. David Pritchard as Directors
- To elect additional Director:
Hadjia (Dr) Fatima L. Hassan Betara as a Non-Executive Director - To authorize the Directors to fix the Auditors’ remuneration.
- To elect members of the Statutory Audit Committee.
- To disclose the remuneration of Managers of the Company in compliance with Section 257 of
CAMA 2025
