The Board of Directors of Champion Breweries Plc (NGX: CHAMPION) will be asking shareholders of the Company to give it authorization to issue additional shares of up to 5,000,000,000 ordinary shares of 50kobo each in the Nigerian and/or international capital markets.
In a written resolution dated 2 July 2025, the Board of Directors of the Company resolved to recommend the share issuance to shareholders of the Company at an Extra-Ordinary GENERAL Meeting.
The EGM will be held virtually on Thursday 24th July, 2025 at 12 noon.
At the EGM, amongst other things shareholders will be asked to consider, and if thought fit, pass, with or without modification a special resolution :
That without prejudice to the existing capital raising authorisations obtained at the general meeting of the Company held on December 4, 2025, the Company be and is hereby authorized to issue additional shares of up to 5,000,000 ordinary shares of 50 kobo each in the Nigerian and/or international capital markets, either as a standalone issue(s) or by the establishment of a capital raising programme(s), by way of Public Offerings, Rights Issues and/or other transaction modes, at price! S) determined through book building or any other acceptable valuation method or combination of methods at such dates, and on such terms and conditions as may be determined by the Board subject to obtaining the requisite regulatory approvals.
Champion Breweries Plc, located in Uyo Ákwa Ibom State has 8,947,995,959 outstanding shares.
As at 31 December 2024, The Raysun Nigeria Limited held 80.2% of the company shares while Ákwa Ibom Investment Corporation held 10.1%.
It posted a revenue of N20.89 billion for the year (2023: N12.70 billion), and a profit after tax of N860.78 million (2023: N280.83 million).
Earnings Per Share stood at 9.10 kobo (2023: 5 kobo).
A dividend of 6kobo per share was recommended, approved and paid to shareholders for the 2024 period.
